8. Governing Law
8.1 Applicable law
These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the People's Republic of China (PRC), without regard to its conflict of law principles or rules. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
8.2 Jurisdiction
Subject to Section 9 (Dispute Resolution), you irrevocably agree that the courts of the People's Republic of China, sitting in Songyuan, Jilin Province, shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, their subject matter, or their formation (including non-contractual disputes or claims). You waive any objection to the exercise of jurisdiction over you by such courts and any objection that such courts constitute an inconvenient forum.
8.3 International users
The Site is operated from the People's Republic of China. If you access the Site or Services from outside China, you do so at your own initiative and are responsible for compliance with all applicable local laws in your jurisdiction. You acknowledge that the laws of your country of residence may differ from those of the PRC, and by using the Site or Services, you agree that the laws of the PRC shall govern.
9. Dispute Resolution
9.1 Informal resolution
We encourage you to contact us directly to resolve any concerns or disputes before initiating any formal legal action. Before filing a claim, you agree to first attempt to resolve the dispute informally by contacting us at reach@chasejoy.lat with a detailed description of your claim. We will attempt to resolve the dispute informally within sixty (60) days of receipt of your notice. If the dispute is not resolved within that period, either party may proceed to initiate formal proceedings as set forth below.
9.2 Negotiation and mediation
If informal resolution fails, the parties agree to attempt to resolve the dispute through good-faith negotiations. Either party may request mediation by providing written notice to the other party. Any mediation shall take place in Songyuan, Jilin Province, China (or via remote videoconference if mutually agreed), and shall be conducted in English. The parties shall bear their own costs of mediation and shall share equally the fees and expenses of the mediator.
9.3 Arbitration
If the dispute is not resolved through mediation within ninety (90) days of the initial request for mediation, either party may submit the dispute to binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its Arbitration Rules then in effect.
The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties, or failing agreement, appointed by CIETAC. The seat of arbitration shall be Songyuan, Jilin Province, China. The language of the arbitration shall be English. The arbitrator's award shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction thereof.
9.4 Waiver of class actions and jury trial
To the fullest extent permitted by applicable law, you and Chase Joy agree that any dispute resolution proceedings, whether in arbitration or in court, shall be conducted only on an individual basis and not in a class, consolidated, or representative action. 9.6 Exceptions
Nothing in this Section 9 shall prevent either party from: (a) seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm, including but not limited to infringement or misappropriation of intellectual property rights; or (b) bringing an action in a court of competent jurisdiction to enforce an arbitral award.
10. General Provisions

10.3 Waiver
No failure or delay by us in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No waiver of any breach of any provision of these Terms shall constitute a waiver of any prior, concurrent, or subsequent breach of the same or any other provision. Any waiver must be in writing and signed by an authorized representative of Chase Joy to be effective.

Neither party has the authority to bind the other or incur any obligation on the other's behalf without the other party's prior written consent.
